Techtrix Limited– Terms & Conditions

(Applicable to all works, quotations, invoices, and maintenance agreements issued by Techtrix Limited)

This Terms and Conditions agreement ("Agreement") shall remain effective and binding from the date of acceptance and shall continue to be in force until terminated or amended in accordance with the provisions herein. Anyprovisions found invalid or unenforceable shall not affect the remaining terms, which shall remain in full effect. 

1. Validity 

All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices may be subject to change after this period without notice. No allowance has been made for retention unless specified in writing. 

2. Acceptance 

Acceptance of a quotation, written instruction to proceed, or payment of an invoice shall be deemed full acceptance of these Terms & Conditions. Any variations must be agreed in writing by Techtrix. 

3. Consumer Cancellation Rights 

Where the customer is a consumer and the contract is concluded at the customer's home or at a distance (for example by telephone or email), the customer has the right to cancel within 14 days of entering into the agreement under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, without giving a reason. 

If the customer requests that work begins during this 14-day period, the customer may be charged for the work and materials supplied up to the point of cancellation. To cancel, the customer must inform Techtrix in writing within the 14-day period. 

4. Payment Terms 

Payment is due within 10 business days of the invoice date unless otherwise agreed in writing. Any discounts offered are conditional upon payment being received within the agreed period. Techtrix reserves the right to suspend ongoing or future works in the event of late or non-payment. 

5. Ownership of Goods 

All goods, equipment, and materials supplied by Techtrix remain the property of the Company until full payment has been received and cleared. In the event of non-payment, Techtrix reserves the right to remove or recover goods supplied, whether installed or not. 

6. Scope and Quantities 

The client is responsible for verifying all quantities, specifications, and details before placing an order. Techtrix shall not be held responsible for omissions, errors, or discrepancies arising from drawings, specifications, or information provided by others. 

7. Design Responsibility 

Unless expressly stated, Techtrix has no responsibility for system design or configuration. Our quotation is based solely on the information and quantities provided at the time of issue. 

Any design input or technical advice provided informally is given in good faith but does not constitute a design responsibility unless confirmed in writing. 

8. Site Access and Preparation 

The client must ensure safe, timely, and unrestricted access to the site for Techtrix personnel. All required electrical and network infrastructure must be in place prior to our attendance. Techtrix reserves the right to charge for wasted visits, delays, or re-attendance caused by site conditions, access restrictions, or incomplete preparatory work. 

9. Completion and Testing 

Completion will be deemed to occur when the works specified have been installed and tested. If faults, defects, or changes are identified prior to completion, these must be resolved before final testing or commissioning can be undertaken. Additional visits or re-testing required as a result of client-side faults or changes may incur additional costs. 

10. Certification and Documentation 

Upon completion, Techtrix will provide standard commissioning and installation documentation as applicable. Any specialist certificates, documentation, or reports requested beyond the agreed scope may incur additional charges. 

11. Warranty and Maintenance 

All equipment supplied by Techtrix is covered by the manufacturer's standard warranty (typically 12 months). Warranty covers repair or replacement of defective equipment only and does not include labour, callout, or consumables unless stated otherwise. 

Callouts outside normal working hours or unrelated to defective equipment will be chargeable unless covered by a separate maintenance agreement. 

12. Audible Warning Devices & Keyholder Responsibilities 

Under the Clean Neighbourhoods and Environment Act 2005, a local authority may designate an "alarm notification area" in which the owner or occupier of premises must notify the authority of keyholder details. 

Where the system includes an external audible warning device (sounder), it will be configured to cut off automatically within 20 minutes, in line with current standards. 

It is the customer's responsibility to nominate and maintain keyholders able to respond to and silence the alarm, and to notify the local authority of keyholder details where required. Techtrix will provide the relevant notification information in the system handover pack. 

13. Optional and Excluded Services 

Unless expressly stated, quotations do not include remote monitoring, network hosting, software subscriptions, or ongoing maintenance. These can be provided under separate agreement upon request. 

14. Delays and Site Conditions 

Techtrix shall not be liable for any delays caused by the client, other contractors, restricted access, supply chain issues, or events outside our control. Additional charges may apply for downtime, waiting time, or rescheduled visits resulting from such delays. 

15. Liability and Indemnity 

Techtrix shall not be liable for any indirect, consequential, or financial loss (including loss of profit or data) arising from works carried out or services provided. 

The total liability of Techtrix under any contract shall not exceed the total amount invoiced for the works concerned. 

The client agrees to indemnify Techtrix against any loss, damage, or claim arising from incorrect or incomplete information supplied by the client or their representatives. 

16. Variations and Additional Works 

Any variation, addition, or change to the agreed works must be confirmed in writing and may result in an adjustment to cost and/or completion timeframe. Verbal instructions on-site will only be acted upon once confirmed in writing or via email. 

17. Late Payment 

Invoices remaining unpaid beyond the agreed period will incur statutory interest (currently 8% above the Bank of England base rate) and may also include a fixed recovery fee, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. 

18. Cancellation and Termination 

If a confirmed order is cancelled by the client, Techtrix reserves the right to charge for any completed work, labour, or materials already purchased. 

Either party may terminate the agreement in writing if the other party commits a material breach or becomes insolvent. 

This clause is without prejudice to a consumer's statutory cancellation rights set out above. 

19. Data Protection and Confidentiality 

Techtrix will handle all personal data in accordance with UK GDPR and Data Protection laws, as set out in our Privacy Policy. 

Any client information or site details obtained will be treated as confidential and used solely for the purpose of carrying out agreed works. 

Where Techtrix installs a CCTV / video surveillance system, the customer is normally the data controller for any footage recorded by that system and is responsible for compliance with UK GDPR in its operation, including the display of appropriate signage. Techtrix can provide guidance on these obligations. 

20. Intellectual Property 

All design concepts, configurations, software settings, and documentation produced by Techtrix remain the property of the Company until full payment is received. 

Intellectual property rights may not be copied, reused, or transferred without written permission. 

21. Insurance 

Techtrix maintains public liability, professional indemnity, and employers' liability insurance. Copies of current certificates are available upon request. 

22. Complaints 

Techtrix operates a documented complaints procedure. Any complaint should be made in writing to Techtrix and will be acknowledged within one working day and addressed in accordance with that procedure. 

Where a complaint relates to work carried out under our SSAIB accreditation and the customer remains dissatisfied with our response, the customer has the right to escalate the matter to the SSAIB (Security Systems and Alarm Inspection Board). 

23. Force Majeure 

Techtrix shall not be liable for failure or delay in performing obligations where such failure is caused by events beyond reasonable control, including but not limited to weather, strikes, shortages, or acts of government. 

24. Third-Party Service Providers and Referrals 

From time to time Techtrix may introduce or recommend a third party to provide services that fall outside Techtrix's own scope of work. For example, Techtrix does not provide fire alarm system design, installation or maintenance and will, where required, introduce the customer to F.A.C.T (Fire Alarms Compliance Testing) to provide those services. 

Any such introduction is made on an arm's-length basis. The customer enters into a separate, direct contract with the third-party provider. Techtrix is not a party to that contract. 

Techtrix accepts no responsibility for the services provided by, or for any act or omission of, any third party introduced. Techtrix makes no warranty as to the suitability, quality, timeliness, performance or pricing of any such third party's services. Liability for those services rests solely between the customer and the third-party provider. 

25. Governing Law 

These Terms and Conditions shall be governed by and construed in accordance with the laws of Northern Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Northern Irish courts.
